Please read these Terms of Service carefully before using CardGrind. By accessing or using our platform, you agree to be bound by these terms.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and CardGrind, LLC ("CardGrind," "we," "us," or "our"), a Delaware limited liability company. By accessing or using cardgrind.com and any related services (the "Platform"), you agree to these Terms in full.

If you do not agree to these Terms, do not use the Platform.

2. Description of Service

CardGrind is a software-as-a-service platform that provides inventory management, market analytics, and collection-organization tools for sport and trading card collectors. The Platform allows users to:

• Track their personal card collection and portfolio value
• Access market pricing data aggregated from publicly available sources
• Evaluate potential trades and grading decisions
• Organize their collection into virtual binders and sets
• Access analytics and market intelligence tools for their personal collection

CardGrind is a software service only. The Platform does not facilitate transactions between users, does not buy, sell, or broker physical cards, and does not operate as a marketplace. All cards remain with their owners; CardGrind provides only digital tools to track and analyze personal collections.

3. Eligibility

You must be at least 18 years of age to create an account and use the Platform. By using CardGrind, you represent that you are at least 18 years old. Minors may only access the Platform through a parent or guardian's account, and the account holder assumes full responsibility for their use.

4. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You may update or delete your account by logging into your account settings or by contacting us at cardgrindapp@gmail.com.

5. Free and Paid Tiers

CardGrind offers both free and paid subscription tiers. The WNBA universe is free for Charter Members. Additional sport and trading card universes will be available through paid subscription tiers as the CardGrind subscription product expands.

We reserve the right to modify, suspend, or discontinue any tier of service, including free tiers, with reasonable notice to users. We will make reasonable efforts to provide advance notice of material changes to the free tier. Charter Member status and free access commitments are subject to these Terms and may be modified with notice.

6. Subscriptions, Billing, and Merchant of Record

Paddle.com Market Limited ("Paddle") is the merchant of record for all CardGrind purchases. When you purchase a subscription or Founders Pass, your contract for the purchase is with Paddle, who processes the payment, handles applicable taxes, and issues invoices and refunds. CardGrind, LLC supplies the underlying CardGrind service. Your access to the CardGrind service is granted and managed by CardGrind, LLC under these Terms.

Paid subscriptions renew automatically on a monthly or annual basis based on your chosen plan. You authorize Paddle to charge your payment method on file at the start of each billing period. CardGrind does not store full payment card numbers; payment data is handled by Paddle and its payment processors in accordance with PCI-DSS standards.

• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access through the end of the period you have already paid for.
• Refunds: Refund eligibility and process are described in our Refund Policy. Briefly: monthly and annual subscriptions are eligible for refund within 14 days of the charge if you have not made substantial use of paid features. Founders Pass is non-refundable except where required by applicable law.
• Founders Pass: The Founders Pass is a one-time purchase limited to 100 spots. Founders Pass benefits are tied to the original account holder and are non-transferable. Founders Pass benefits include lifetime access to all paid subscription tiers and sport and trading card universes that are part of the CardGrind subscription product, including any new subscription tiers or universes added in the future. Founders Pass does not include physical merchandise, separate paid products, paid events, paid services, paid content, or any other paid offering that CardGrind, LLC or its affiliates may develop or sell outside the CardGrind subscription product, whether sold on the CardGrind platform or elsewhere.
• Price Changes: We may change subscription prices for future billing periods with at least 30 days' notice. You may cancel before the new price takes effect.
• Failed Payments: If a payment fails, Paddle may attempt to charge your payment method again. If payment cannot be collected, we may suspend or downgrade your account.
• Billing Questions: For invoices, payment method updates, or refund requests, contact cardgrindapp@gmail.com. We coordinate with Paddle on your behalf for billing-related issues.

7. Pricing Data Disclaimer

The pricing data and market values provided on CardGrind are aggregated from publicly available sources and community contributions. They are provided for informational and educational purposes only and do not constitute financial, investment, or trading advice. CardGrind makes no guarantees regarding the accuracy, completeness, or timeliness of any pricing data. Community-contributed transaction data reflects user-reported information and has not been independently verified.

Users should conduct their own research before making any decisions about their personal collections. CardGrind is not responsible for any financial outcomes resulting from reliance on platform data. Trading cards are collectibles; their values fluctuate, and past performance does not predict future value.

8. Community Transaction Database

CardGrind allows users to contribute transaction data to a community price guide. By submitting transaction data, you:

• Represent that the information is accurate to the best of your knowledge
• Grant CardGrind a perpetual, royalty-free license to use, store, and display the contributed data as part of the community dataset
• Understand that contributed data may be retained in anonymized, aggregated form even after account deletion to preserve the integrity of the community price guide

9. User-Generated Content

Users may upload content including card photos, transaction records, and other information. You retain ownership of your content but grant CardGrind a license to display and use it within the Platform. You agree not to upload content that is illegal, infringing, or violates these Terms.

10. Prohibited Activities

You agree not to:

• Sell, transfer, or assign your account or Charter Member status to another person
• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to any portion of the Platform
• Scrape, harvest, or collect data from the Platform without authorization
• Submit false or misleading transaction data to the community database
• Interfere with the proper functioning of the Platform
• Use the Platform to facilitate the sale, trade, or transfer of cards between users (CardGrind is not a marketplace)

11. Intellectual Property

CardGrind and its content, features, and functionality are owned by CardGrind, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our Platform without express written permission.

12. Limitation of Liability

To the maximum extent permitted by law, CardGrind's liability to you for any claims arising from your use of the Platform is limited to the amount you paid to CardGrind in the six (6) months preceding the claim. CardGrind is not liable for any indirect, incidental, special, consequential, or punitive damages.

You have one (1) year from the date a cause of action arises to bring a claim against CardGrind.

13. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. CardGrind does not warrant that the Platform will be uninterrupted, error-free, or that any defects will be corrected.

14. Dispute Resolution

Any dispute arising from these Terms or your use of the Platform will first be addressed through informal negotiation. If the dispute cannot be resolved within 30 days of written notice, it will be submitted to binding arbitration in Delaware under the rules of the American Arbitration Association. CardGrind will pay arbitration fees if they are deemed excessive. Any litigation, if arbitration is not applicable, shall take place in Delaware.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email. Continued use of the Platform after notice constitutes acceptance of the updated Terms.
